These Terms of Service (“Terms”) govern your access to and use of the SCADA NextGen software platform and related services provided by SCADA NextGen S.L. (“Company”, “we”, “our”). By activating a license or accessing the software, you agree to be bound by these Terms.
1. Acceptance of Terms
By downloading, installing, or using the SCADA NextGen software (“Software”), you agree that you have read, understood, and accept these Terms in full. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you must not use the Software. Use of the Software after any modification of these Terms constitutes your agreement to the modified Terms.
2. License Grant
Subject to your compliance with these Terms and payment of all applicable fees, SCADA NextGen S.L. grants you a perpetual, non-exclusive, non-transferable, non-sublicensable license to install and use the Software modules specified in your order for your internal business operations.
This license is limited to the specific modules purchased. Access to additional modules requires a separate license. The perpetual nature of the license is contingent upon full payment of the license fee; subscription-based licenses remain active only for the duration of the paid subscription period.
You may not:
- Copy, modify, or create derivative works of the Software
- Reverse engineer, decompile, or disassemble the Software
- Rent, lease, lend, sell, or redistribute the Software
- Remove or alter any proprietary notices, labels, or marks
- Use the Software on machines not covered by your license
3. Machine Binding
Each license is cryptographically bound to a specific server instance (“Machine Binding”). The machine fingerprint is derived from hardware identifiers at activation time and embedded in your license token.
Hardware changes: Significant hardware changes (CPU replacement, motherboard replacement, or cloud instance migration) may invalidate your license binding. In such cases, you must contact us to perform a license transfer. We allow up to two (2) machine transfers per year per license at no additional charge.
Docker and virtual machines: When deploying in containerized or virtualized environments, you must ensure that the container instance ID or VM UUID used at activation remains stable. Ephemeral container IDs are not supported for machine-bound licenses without a dedicated floating license add-on.
4. Payment Terms
License fees are due as specified in the order confirmation. Perpetual licenses are invoiced in full at the time of purchase. Subscription licenses are invoiced monthly or annually in advance, as selected at checkout.
Late payments: Invoices unpaid after thirty (30) days accrue interest at 1.5% per month, or the maximum rate permitted by law, whichever is lower.
Suspension: SCADA NextGen S.L. reserves the right to suspend access to subscription features or maintenance updates for accounts with outstanding balances exceeding 60 days.
Taxes: All fees are exclusive of applicable taxes, including VAT. You are responsible for paying all taxes associated with your purchase. EU customers may provide a valid VAT number to receive invoices with reverse-charge applied.
Refunds: Perpetual licenses are non-refundable after activation. Subscription licenses may be cancelled at any time; no refund is issued for the current billing period.
5. Intellectual Property
The Software, including all source code, object code, algorithms, user interfaces, documentation, and related materials, is the exclusive intellectual property of SCADA NextGen S.L. and is protected by copyright, trade secret, and other applicable laws.
These Terms do not transfer any ownership rights to you. The license granted herein is solely a limited right of use. “SCADA NextGen” and all associated logos and trademarks are registered or unregistered marks of SCADA NextGen S.L. You may not use these marks without prior written consent.
Feedback: If you provide suggestions, ideas, or feedback about the Software (“Feedback”), you hereby grant SCADA NextGen S.L. a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize such Feedback without restriction or attribution.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCADA NEXTGEN S.L. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall SCADA NextGen S.L.'s aggregate liability exceed the greater of (a) the amount you paid for the Software in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred euros (€100).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Spain. Notwithstanding the foregoing, SCADA NextGen S.L. reserves the right to seek injunctive or other equitable relief in any jurisdiction.
8. Modifications to Terms
SCADA NextGen S.L. may revise these Terms from time to time. We will provide at least thirty (30) days' notice of material changes by email to the address associated with your account or by posting a prominent notice on our website.
Continued use of the Software after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must cease using the Software and contact us for a pro-rated refund of any prepaid subscription fees.
